OUR BYLAWS

Bylaws of The American Devastation Accountability Coalition

 

Article I: Name and Purpose

 

Section 1. Name

The name of this organization shall be The American Devastation Accountability Coalition (hereinafter referred to as "ADAC").

 

Section 2. Purpose

 ADAC is organized exclusively for charitable, educational, and advocacy purposes, specifically to promote transparency and accountability in weather modification activities and to advocate for responsible legislative reform related to weather modification practices.

 

Article II: Membership

 

Section 1. Membership Eligibility

 Membership in ADAC is open to any individual or organization that supports the mission and purpose of the Coalition.

 

Section 2. Membership Dues

The Board of Directors may establish membership dues, if applicable, which shall be reviewed annually.

 

Section 3. Membership Rights

Members shall have the right to participate in all activities of the Coalition and shall have access to reports and information disseminated by the organization.

 

Article III: Board of Directors

 

Section 1. Composition

The Board of Directors shall consist of no fewer than five (5) and no more than fifteen (15) members.

 

Section 2. Term

Members of the Board shall serve a term of three (3) years and may be re-elected for consecutive terms.

 

Section 3. Powers and Duties

The Board of Directors shall have the authority to manage the affairs of ADAC, including:

 

Setting policies and strategic direction.

 

Approving the budget and overseeing financial management.

 

Hiring and supervising the Executive Director.

 

Establishing committees as needed.

 

Section 4. Meetings

The Board shall meet at least quarterly. A majority of the Board members present shall constitute a quorum for the transaction of business.

 

Article IV: Officers

Section 1. Officers

The officers of ADAC shall consist of a Chair, Vice Chair, Secretary, and Treasurer.

 

Section 2. Election of Officers

Officers shall be elected by the Board of Directors at the first meeting of each year.

 

Section 3. Terms of Office

Officers shall serve for one (1) year and may be re-elected for consecutive terms.

 

Section 4. Duties of Officers

Chair: Presides over meetings, represents the Coalition in official matters, and oversees the Board's activities.

Vice Chair: Assists the Chair and assumes the Chair's responsibilities in their absence.

Secretary: Maintains minutes of meetings, handles correspondence, and ensures proper record-keeping.

Treasurer: Manages the financial affairs of the Coalition, including preparing the budget and financial reports.

Article V: Committees

Section 1. Standing Committees

The Board may establish standing committees as needed, including but not limited to:

Advocacy Committee

Education and Outreach Committee

Finance Committee

 

Section 2. Ad Hoc Committees

The Board may establish ad hoc committees as necessary to address specific issues or projects.

 

Article VI: Financial Provisions

Section 1. Fiscal Year

 The fiscal year of ADAC shall be from January 1 to December 31.

 

Section 2. Financial Management

 

All funds of ADAC shall be managed in accordance with sound financial practices, and financial statements shall be presented to the Board regularly.

 

Section 3. Audit

An independent auditor may be appointed annually to review the financial records of ADAC.

 

Article VII: Amendments

Section 1. Amendment Process

These bylaws may be amended by a two-thirds (2/3) majority vote of the Board of Directors present at any meeting, provided that notice of the proposed amendment has been given to all Board members at least two (2) weeks prior to the meeting.

 

Article VIII: Dissolution

Section 1. Dissolution Clause

In the event of dissolution of ADAC, any remaining assets shall be distributed to a nonprofit organization with similar purposes, as determined by the Board of Directors.

 

Article IX: Indemnification

Section 1. Indemnification Clause

ADAC shall indemnify any Director or Officer against expenses and liabilities incurred in connection with the organization, to the fullest extent permitted by law.
